The new board of directors of Media Capital, owner of TVI and commercial radio, gave a press conference this Tuesday to react to the decision of the Regulatory Body of Social Communication (ERC), which “deserves the most vehement rejection.” OR President Mário Ferreira said that the damage to the image “has already been done”, highlighting that if the situation persists over time, Media Capital will have to be compensated. The businessman assures that the ERC questioned “more than 1,100 jobs.

The media authority decided on November 23 that it would not recognize any fundamental changes to Media Capital’s organizational structure, decided by the general board of directors on Tuesday. Thus, ERC refuses to acknowledge changes in the company statutes and the new corporate bodies, claiming that an administrative infraction is underway to clarify the identity of the owners of Media Capital.

At the press conference, Mário Ferreira considered that ERC’s deliberation “is very serious and cannot go unanswered”, which led to the Media Capital press conference, chaired by the new members of the board of directors of the owner of TVI, some of which are also shareholders of the company.

The reason for going ahead with the general meeting, even after ERC’s deliberation, was justified by Paula Paz Dias, a member of the new board of the TVI owner. The deputy said that “there was no basis to postpone or suspend the meeting,” since the regulator’s warning “was unintelligible.” “What are the measures that go against the spirit of the law? The owner of Douro Azul and Pluris Investments, participation which controls 30.22% of Media Capital, reiterated that ERC’s deliberation “may threaten the viability of the project”, putting “at stake the survival of TVI, of five radio stations, the largest national fiction producer”, thus as “more than 1,100 jobs” and that “brings serious losses to the company, devalues ​​its performance and has serious consequences for its shareholders, who nevertheless claim due responsibilities.”

“And make no mistake, there will be no plan B,” said Mário Ferreira, who as of this Tuesday is the chairman of the board of directors of Media Capital.

Mário Ferreira also highlighted that the new shareholders “presented proof of ownership of their shares” and that, therefore, “there are” no “doubts about the identity of the shareholders of the capital represented at the general meeting”, thus repudiating the understanding that led the ERC to deliberate to recommend that this general meeting should not be held.

“Media Capital reiterates its intention to use all legal means at its disposal to enforce its rights and demand due compensation for the real losses already caused to the group,” said Mário Ferreira, admitting that, for now, they are damage to the company. reputation that can be quickly remedied.

Asked the President Media Capital explained: “The image has already been damaged. Some of the parangones in some biased newspapers went far beyond what ERC reported. We want this to be remedied as soon as possible and if it is not perpetuated over time, I think we will stop here. Mário Ferreira also alluded to the alleged treatment that ERC granted Cofina, by Paulo Fernandes, owner of the publications “Correio da Manhã”, “Sabbath” and “Negócios” that has a takeover bid running on Media Capital.

“Cofina lowered the capital increase, lowered the takeover bid. He said he was not publicly interested in buying Media Capital and left the business on known terms. After a few weeks he became interested again, he wanted to assert his interests and that everything would be valid. In the following days, we contacted ERC, we demonstrated what our intentions would be and the treatment we received is that we did not have the same benefits, nor the same rights, “he said.

“Cofina and the engineer Paulo Fernandes had no problems scheduling a meeting with the president of ERC. We, to this day, have never been received by the president of ERC [Sebastião Póvoas] – He never wanted to receive us. Until today, we have never spoken to him to present our intentions. ERC was always informed of what was happening. But we were simply ignored. And ERC always said that the deal was valid, even after Prisa said that it was no longer in negotiations with Cofina, ERC acknowledged that there was a valid deal from Cofina. We believe that there was a duality of criteria here, but that, certainly, future lawyers will speak better on the subject. I think we have time for everything to be corrected ”, he added.
