First Subway: Notice of Annual Shareholders Meeting

MANILA, Philippines – Notice is hereby given that the Annual Meeting of Shareholders of First Metro Investment Corporation (First Metro) will be held virtually on June 1, 2020 at 2 p.m. via Zoom.
Due to the situation of COVID-19, there will be no physical place for the meeting. The following elements will be taken:
Diary
- Call to order
- Notice and quorum certification
- Approval of the minutes of the previous Annual Shareholders Meeting held on April 23, 2019
- Annual report to shareholders
- Ratification of corporate acts, including transactions with related parties
- Election of the members of the Board of Directors
- Appointment of External Auditor
- Other issues
- Postponement
Record date. Shareholders of record as of April 23, 2020 will have the right to attend the Meeting.
Pre-registration Shareholders who intend to participate by remote communication must register in advance by sending an email to [email protected] on or before May 26, 2020, along with the following requirements:

me. A scanned copy of the Government issued Identification of the Shareholder showing photograph, signature and personal data, preferably with residential address (in JPG format)
ii) A valid and active email address and contact number
yes. Corporate shareholders
me. A secretary certificate that certifies the authority of the representative to participate by remote communication for, and on behalf of the Corporation (in JPG format)
ii) A scanned copy of the valid government-issued identification of the Shareholder’s representative showing a photo, signature and personal data, preferably with a residential address (in JPG format)
iii) A valid and active email address and contact number
Successful registrants will receive an electronic email invitation with a comprehensive guide on how to join the Meeting and how to cast votes. For any registration concerns, please contact [email protected].
Attorney. If you cannot join the virtual meeting, you can send an authorized representative on your behalf. Download, complete and sign the sample proxy form found at www.firstmetro.com.ph/asm-2020, and send a scanned copy to [email protected] or before May 26, 2020.

Electronic copies of relevant documents. Pursuant to the SEC Notice of April 20, 2020, copies of the Meeting Notice, the Final Disclosure Statement, and other related documents relating to the Meeting are accessible through the company’s website. (https://www.firstmetro.com.ph).
There will be audio and virtual recording of the meeting. All votes cast will be subject to validation by Metrobank-Trust Banking Group.
