One part of the proposals of the General Meeting includes the questions of resignation and remuneration of Ádám Balog, and the other part establishes the framework for the appointment of a successor. Therefore, there are the following four specific proposals in the document:

  1. The General Meeting approves the employment of Ádám Balog, President and CEO, on December 31, 2020 – or if the election of the new Chairman of the Board by the General Meeting is not effective for that date, but no later than March 2021 by mutual agreement on the 1st of the month. The General Meeting authorizes the Remuneration Committee to enter into an agreement to terminate the employment relationship by mutual agreement, including the determination of the benefit owed to Ádám Balog.
  2. The General Meeting determines the adequacy of the outstanding management activities of Ádám Balog, Director and Chairman, in the period between January 1, 2020 and December 14, 2020, therefore Law V of 2013 on the Code Civil 3: 117. §.
  3. The General Meeting elects Zsolt Barna from among the members of the Board of Directors from January 1, 2021 to December 31, 2025, provided that the condition to occupy the position and enter into force is that the permission of the Magyar Nemzeti Bank. The General Board also elects Zsolt Barna for the term of Chairman of the Board.
  4. As of January 1, 2021, the General Board elects Zsolt Barna as CEO of MKB Bank Plc. At the same time, the General Board requests the Remuneration Committee to determine the individual goals of Zsolt Barna, CEO, for 2021, in line with the company’s commercial policy for 2021 and general banking goals.

He began his career in the State Supervision of Money and Capital Markets, since 1998 he was the head of the HFSA department, and since 2004 he was the head of the department. From 1998 to 1999, he was a member of the BEVA board of directors. Since 2006, he has been the managing director of the HFSA’s Oversight Board. From 2006 to 2010, he was a member and permanent guest of the governing bodies of CESR, CEBS and the professional committees of Europe. Between 2008 and 2009, he was a key player in crisis management in the banking sector. He has worked for the OTP Group since 2010, initially as a director, during which time he became the chairman of the board of directors of CKB Bank in Montenegro, whose reorganization he led.

After various management positions within the OTP Group, he served as President and CEO of OTP Ingatlan Befektetési Alapkezelő Zrt. From June 8, 2016 to August 31, 2018, and from September 2016 to August 31, 2018 as Chairman of the Board of Directors of OTP Alapkezelő Zrt. be. Since June 8, 2016, he has been the Chairman of the Board of Directors of OTP Ingatlan Befektetési Alapkezelő Zrt. In 2017-2018, OTP Bank managed its first major subsidiary integration in Croatia. Since September 10, 2018, he was president of the OTP Ingatlan Zrt Supervisory Board.

On September 1, 2018, he was appointed Deputy CEO of OTP Bank. From 2019 to July 20, 2020, he was Chairman of the Board of Directors of OTP Ingatlan Zrt. And member of the Supervisory Board of the Croatian subsidiary of the OTP Group. Since December 2019, he was Chairman of the Board of Directors of the Slovenian subsidiary of the OTP Group. Until July 20, 2020, he held the position of Deputy General Manager of OTP Bank Plc. Since October 30, 2020, he has been Chairman of the Board of Directors of Magyar Bankholding Zrt.
